OAZO HOMES SERVICES AG - General Terms and Conditions

1. General 
These General Terms and Conditions (the "GTC") govern the use of the oazohomes.com platform of Oazo Homes Services AG (Zurich, Switzerland) ("Oazo"). oazohomes.com is a curated and invitation-based platform (the "Platform") on which various real estate properties (the "Properties") are available for rent as holiday homes in accordance with Art. 253a para. 2 CO for selected persons (the "Guests") or as real estate investments for selected persons (the "Investors"). The use of the Platform is strictly limited to persons who are at least 18 years old. By using the Platform, you accept these GTC. Oazo reserves the right to amend the GTC at any time.

2. Access to the Platform

Landlords can apply at any time. After successful registration and activation as a Host (the "Hosts"), they can invite a limited number of trusted third parties to the Platform per year. Investors and Oazo team members can also invite trusted third parties.

3. Club Membership 

Access to the booking system is reserved exclusively for Club Members, who are the only ones authorised to book Properties.

Every request to become a Club Member is checked manually by Oazo. Access to the Platform is only possible for Guests by invitation and after explicit acceptance by Oazo. Oazo reserves the right to refuse to accept Club Members without giving reasons. 

"Club Members" are Investors, Hosts, team members and their invited Guests.

Club Membership is currently free of charge. A club fee will be introduced at a later date. Club Members can decide at that time whether they wish to remain in the club and pay the fee or leave the club.

Club Members will receive a holiday credit of CHF 150 for each third-party property they place on the Platform.

Guests are jointly and severally liable for all damage to the rental Property and its furnishings caused by themselves or their fellow travellers. They are responsible for the behaviour of all persons travelling with them and undertake to treat the Property with care and to return it in the condition in which they found it. Any damage to the Property or its furnishings caused by culpable behaviour must be compensated in full by the Guests.

4. Conditions for Hosts 

4.1 Hosting Conditions 
Oazo only accepts Properties that function as places of relaxation and recreation and as smaller or larger oases that have been furnished with style and love by the Hosts themselves. The architecture and furnishing style can vary. The Properties can be located in a city or the countryside, with easy or difficult access. A minimum letting capacity of +/- 60 days per year is required. Each Property undergoes a testing process involving a trial period, during which two testers are offered a stay of up to three nights at a minimum discount of 50%.

If the Property receives mostly positive evaluations based on these  test stays and an Oazo checklist, it enters the final mode and regular bookings can be made. By this stage, the Property will already have two published ratings from test Guests. 

Oazo reserves the right to refuse to include Properties on the Platform at any time, without providing reasons.

4.2 Accountability
Hosts undertake to always answer Guests' questions promptly and to confirm or reject booking enquiries within a maximum of 48 hours. They ensure that everything is available for a pleasant holiday start, at least: sufficient coffee, chilled water, spices, oil, vinegar, welcome drink and a list of restaurant recommendations. In addition, Hosts are responsible for correct and up-to-date advertisement content, compliance with all local laws, regulations and official requirements, the organisation of professional cleaning and a smooth key handover as well as the proper payment of all applicable taxes and duties.

The Hosts undertake to provide Oazo with all information necessary to fulfil their legal obligations in a complete, truthful and timely manner.

The Hosts shall indemnify Oazo against all third-party claims as well as any official sanctions, fines or other costs that may arise should the Hosts violate their obligations under statutory provisions. This applies in particular, but not exclusively, to breaches of registration obligations or inaccurate information about the Properties.

It is taken into account that Oazo, as a private membership Platform, is based on a club-based concept and is not to be regarded as a publicly accessible intermediary Platform in the sense of the usual regulatory categorisation. The Hosts recognise that this special structure does not release them from legal obligations, but leads to a different risk assessment in relation to Oazo.

Hosts are responsible for setting the price of their accommodation and creating rules and requirements for their listing. They must transparently state all additional fees and costs in the Property description.

Hosts are also liable for all persons involved in the rental. They inform their team about the GTC and ensure that they are authorised to conclude contracts for their team and/or company. In the case of payment instructions to co-Hosts, they must be authorised to do so. 

4.3 Host Tool
Hosts receive digital access to their Property and can make their own amendments and additions. They commit to updating the booking calendar 12 months in advance, to adding blocking dates and special prices, as well as adjusting changes to the Property visually and textually. 

Using the Oazo Messaging Tool, Hosts can invite Club Members, manage the booking calendar, submit reviews and contact Guests with just a few clicks. 

The dashboard shows Hosts all booking enquiries, which they also receive by email, as well as booking confirmations, past bookings, revenue generated and reviews received.

4.4 Legal Obligations
The Hosts must obtain all official authorisations required for the use of the Property (e.g. business registration, tourist registration, compulsory registration) and comply with local regulations (e.g. noise protection, fire protection). The responsible party shall be liable for any violations of legal provisions by the Hosts or Guests. Oazo assumes no liability for legal consequences resulting from non-compliance with official requirements or legal provisions.

Hosts are obliged to check and comply with all relevant legal framework conditions on their own responsibility before commencing the rental, in particular Property management licences, local regulations, registration obligations and data protection regulations.

4.5 Compensation 

4.5.1 Currency
Hosts define the currency in which they wish to receive payments and therefore bear no currency risk.

4.5.2 Service Fee
Unless otherwise agreed, Hosts are charged a 3% Service Fee (the "Service Fee") on the accommodation costs for each rental (Guests pay a 10% Platform Fee and the cleaning fee for each rental). Oazo uses the Service Fee to finance a portion of the ongoing development of the Platform, professional marketing and communication activities and the careful management of Club Members.

4.5.3 Invoicing
Oazo is responsible for all direct debits and transfers resulting from holiday bookings on the Platform. For this purpose, Oazo works together with the international payment provider Stripe. Hosts are solely responsible for the independent settlement of accounts with the cleaning staff and for the independent payment of any visitor's tax. Hosts will receive the previous year's statement for their tax return by the end of January at the latest.

4.5.4 Payment Commission
The Payment Commission is charged to the Host on a 1:1 basis (the "Payment Commission") or deducted from the payment. The Payment Commission varies depending on the payment method chosen by the Guests and is passed on to the Hosts without a surcharge or automatically deducted from the rental income.

4.5.5 Payout
The payment is automatically processed 24 hours after check-in. Oazo does not transfer the deposits separately in order to minimise payment costs. The payment is made after deduction of the Payment Commission and Service Fee and includes cleaning costs.

4.5.6 Duration of Stay
The minimum and maximum duration of stay for a Property is determined by the Host. However, it should be noted that the minimum stay is two nights, as Oazo does not accommodate one-night bookings. 

Oazo is set to present a series of offers, including extended stay offers, last-minute offers, programme offers, and single rooms catering to workation and travel requirements. These offers are scheduled to be made available to Guests at a subsequent point in time. The Host is authorized to determine the offers to which they wish to participate.

Bookings can be made a minimum of four days and a maximum of 365 days in advance.

4.5.7 Pricing
The decision on the amount of the daily rent is the responsibility of the Hosts and can be varied according to the season and the day of the week. The Hosts are responsible for charging visitor's tax. These are either collected directly on site or as a flat rate in the Guests' accommodation prices.

4.5.8 Cancellation Policy
In the event of booking cancellations, payment to Guests is based on the specified cancellation policy. Hosts may not cancel without a valid reason. 

The following cancellation conditions are currently available for Hosts to choose from:

  • Flexible: can be cancelled free of charge up to 14 days before check-in / 50% up to 4 days before check-in
  • Regular: can be cancelled free of charge up to 30 days before check-in / 50% up to 7 days before check-in
  • Strict: can be cancelled free of charge up to 50 days before check-in / 50% up to 7 days before check-in

5. Fees

Oazo charges a 10% Platform Fee (the "Platform Fee") to Guests. The Platform Fee is automatically taken into account during the billing process and is not passed on to the Host. Oazo uses the Platform Fee to finance a share of the ongoing development of the Platform, professional marketing and communication activities as well as the careful management of Club Members and the curation of suitable new holiday Properties. 

6. Contents and Ratings

By providing content, Hosts grant Oazo a licence of use for platform, marketing and communication purposes, unless otherwise agreed. Hosts are responsible for the legality of their content and the corresponding copyrights.

The synchronisation of the booking calendar, should the Host also rent on other Platforms, is the responsibility of the Host. Oazo merely provides support.

After each stay, Guests and Hosts can rate each other. Reviews must be truthful and appear as personal text references next to the Property (Host) or in the profile (Guest). If a Property or a Guest receives one or more negative reviews, Oazo reserves the right to check these for accuracy and determine exclusion. 

Hosts have the additional option of confidentially reporting incidents or feedback about a stay directly to Oazo - independently of a public review. These reports will be treated discreetly and may lead to an internal review or further action without being automatically published.

7. Platform Rules 

The use of the Platform requires respectful and honest interaction with one another. All Club Members are obliged to protect the Platform from manipulation and misuse and to treat personal data confidentially. All persons undertake to provide truthful information in their profiles. All bookings and payments may only be processed via the Platform. All Club Members are expected to strictly comply with applicable laws and Platform rules to ensure the integrity and safety of our community. All Club Members undertake to treat personal data confidentially in accordance with the applicable data protection laws. 

In order to process the booking and in accordance with legal requirements, Hosts may collect and process Guests' personal data. The data may only be used for the intended purpose and must be carefully protected. Disclosure to third parties is only permitted if there is a legal basis or the person concerned has given their consent.

8. Termination of the Club Membership 

Hosts and Guests can cancel their membership at any time. Oazo can terminate with 30 days' notice and immediately in the event of violations or non-compliance with the Platform rules.

In the event of cancellation by a Host, bookings that have already been made will continue to be carried out professionally. If the booking cannot be realised due to external influences (forces of nature, damage to Properties, etc.), Guests will be refunded the full booking costs, excluding the Platform Fee paid by the Guest and Host. No new bookings can be accepted after cancellation. Guests can cancel their Club Membership at any time by requesting the cancellation of their account. Ongoing bookings are subject to the cancellation conditions of the respective Host. 

9. Miscellaneous 

Hosts acknowledge and agree that Oazo is entitled to disclose any information necessary to fulfil its legal obligations to the relevant authorities.

Club Members may not assign their rights, obligations or claims in connection with these GTC without the prior consent of Oazo. 

If any provision of the GTC is found to be illegal, invalid or otherwise unenforceable (in whole or in part), the remaining provisions shall remain in full force and effect.

In the event of any inconsistency between the German and a translated version of these GTC, the German version shall prevail

The Platform may contain third party content or links to third party websites. Oazo assumes no responsibility and makes no warranties or representations with respect to third party content or websites, including but not limited to the accuracy, subject matter, quality or timeliness.

Oazo is authorised to use the information and materials provided by the Hosts such as texts, story elements, photos, videos and portraits for internal and external communication (e.g. newsletters, social media, press work), unless expressly agreed otherwise. If Hosts object to the public naming or use of their content, Oazo will respect this wish and will not include the relevant objects and persons in external communication.

In the event of problems or disputes, Oazo Support shall be the primary arbitrator. Objections may be raised to measures taken by Oazo against published content.

The GTC are subject to Swiss law; the place of jurisdiction is Zurich.
